Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Manufex platform, websites, and related services (collectively, the "Services") operated by Manufex ("Manufex", "we", "us", or "our"). By accessing or using the Services, you agree to be bound by these Terms.

If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.

You must be at least 18 years old and capable of forming a binding contract to use the Services. You are responsible for the accuracy of the information you provide and for maintaining the confidentiality of your account credentials.

Your responsibilities

• Keep your login credentials secure and notify us promptly of any unauthorized use.
• Provide accurate company, capability, and contact information during onboarding.
• Ensure that everyone accessing the Services under your account complies with these Terms.

You agree to use the Services only for lawful purposes and in accordance with these Terms. You may not:

• Misrepresent your identity, capabilities, certifications, or affiliation.
• Upload content that infringes intellectual property or violates export-control, ITAR, or sanctions laws.
• Attempt to disrupt, reverse-engineer, or gain unauthorized access to the Services or related systems.
• Use the Services to transmit malware, spam, or to harvest data without authorization.

You retain ownership of designs, files, specifications, and other materials you submit ("Your Content"). You grant Manufex a limited, non-exclusive license to host, process, and display Your Content solely to operate and improve the Services and to facilitate quotes and orders between buyers and suppliers.

You are responsible for ensuring you have the rights necessary to share Your Content and that doing so does not violate any confidentiality obligation.

Manufex provides a marketplace and orchestration layer connecting buyers and manufacturing suppliers. Unless expressly stated, Manufex is not a party to the contract formed between a buyer and a supplier for a given order.

Pricing, lead times, and specifications are set by the relevant parties. Fees payable to Manufex, if any, are described in your applicable plan or order. Taxes are your responsibility unless otherwise required by law.

The Services, including software, designs, trademarks, and content provided by Manufex, are owned by Manufex or its licensors and are protected by intellectual property laws. These Terms do not grant you any right to use Manufex branding without prior written permission.

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Manufex does not warrant that the Services will be uninterrupted, error-free, or secure, or that any supplier or buyer will perform as expected.

To the maximum extent permitted by law, Manufex and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues, arising out of or related to your use of the Services. Our aggregate liability for any claim will not exceed the amounts you paid to Manufex in the twelve months preceding the claim.

We may suspend or terminate your access to the Services at any time if you breach these Terms or if we reasonably believe your use poses a risk to the Services or other users. You may stop using the Services at any time. Provisions that by their nature should survive termination will survive.

We may update these Terms from time to time. If we make material changes, we will provide notice through the Services or by other reasonable means. Your continued use of the Services after the changes take effect constitutes acceptance of the revised Terms.
